J. Daniel Schert

Daniel is a partner at Langdale Vallotton, LLP with a practice focus in commercial and residential real estate transactions and business and corporate law.

Daniel has over twenty-five years of experience in all aspects of commercial and residential real estate transactions. Daniel is in the unique position of having represented buyers, sellers, developers, banks and other lenders, private investment funds, retailers, multi-family developers, hotel developers and restaurant groups, national franchise businesses, as well as publicly and privately held companies in the acquisition, disposition, financing, management, and development of real estate throughout the Southeastern United States. Daniel frequently represents clients in the multifamily industry, including projects involving student housing and traditional multi-family housing. Daniel’s representation covers all phases of a real estate transaction including the preparation and negotiation of purchase and sale agreements for improved and unimproved real estate, review and preparation of construction and development contracts, negotiation of financing documents, review and preparation of leases, easements, restrictive covenant agreements and property development agreements, issuance of legal opinions, loan document review and negotiation, and escrow coordination and management.

Daniel’s practice also includes significant corporate work including asset acquisitions, corporate acquisitions, formation and structuring of corporate entities, conversion of corporate entities, capital raising, and assisting in numerous aspects of corporate governance. Daniel has broad experience in drafting, reviewing, and negotiating corporate contracts including franchising, business opportunities, and other corporate matters.

Outside of real estate and business and corporate law, Daniel’s practice includes secured lending, estate planning, and probate work. Daniel also advises clients with regard to employment related matters and drafts and negotiates employment agreements for both employers and employees.

Daniel graduated with honors from the University of Georgia School of Law in 2002, after receiving his bachelor’s degree with honors from the University of Georgia. Prior to joining Langdale Vallotton, LLP in 2005, Daniel worked as an associate attorney with Troutman Sanders, LLP in Atlanta, Georgia. Daniel was named as a partner of our firm in 2006. Daniel is a member of the Valdosta Bar Association, the State Bar of Georgia, and the State Bar of Georgia’s Real Property Law Section. Daniel currently serves on the Valwood School Board of Trustees and has previously held other positions in the Valdosta community including serving as Chair of the Valwood Board of Trustees and President of the Board of Directors of Lowndes Associated Ministries to People, Inc. Daniel is Martindale-Hubbell Rated AV® Preeminent.

Daniel’s representative experience includes:

  • Counsel to industrial warehouse developer in the acquisition and assemblage of large tracts and in the development, financing, leasing and sale of industrial warehouse space along the coast, including a $198,000,000 sale of warehouses to Duke Realty.
  • Counsel to a hotel developer in the acquisition, financing, construction, development and operation of Hilton, Embassy Suites, Hilton Garden and Marriott hotel brands throughout Georgia and Florida.
  • Counsel to multi-family developers in the acquisition, financing, construction, development and operation of numerous apartment complexes throughout Georgia and Florida, including numerous transactions (financing, purchasing and sales) where the transaction amount exceeded $50,000,000.
  • Counsel to restaurant conglomerate in transaction involving the sale of multiple parcels of real estate located in several states, as well as all assets related to the operation of the business with a purchase price of over $40,000,000, with said representation involving facilitating all matters related to the real property transferred, as well as the assignment and assumption of leases, equipment and assets, and business operations.
  • Lead counsel in real estate auctions including two of the largest land auctions ever held in South Georgia.
  • Counsel to numerous medical, dental, home health, and physical therapy practices selling their practices to hospitals and private equity groups.
